Only the services expressly listed in the applicable written scope are included. Any service, task, revision, meeting, deliverable, platform setup, technical implementation, copywriting, design, automation, reporting, or support item not expressly listed is excluded unless agreed to in writing.
4. Acceptance of Scope
The client is responsible for reviewing the scope of work before payment.
Once the client signs, approves, or pays an invoice, proposal, payment link, statement of work, estimate, or written agreement, the scope is considered accepted.
Payment confirms that the client has reviewed and approved:
the services being purchased,
the project scope,
the fee,
the payment terms,
the refund terms,
the revision terms,
the delivery process,
the client responsibilities, and
these Terms.
5. Paid Services Are Governed by the Written Scope
Paid services are governed by the applicable invoice, proposal, statement of work, estimate, contract, payment link, written agreement, and these Terms.
If there is a conflict between these Terms and a signed or approved statement of work, the statement of work will govern the specific paid project, unless the statement of work expressly states otherwise.
Any service that is not included in the written scope is not included in the purchase.
6. No Refunds
All payments to Ghann Consulting are final and non-refundable, unless otherwise required by applicable law or expressly agreed to in writing by Ghann Consulting.
This includes, but is not limited to:
deposits,
retainers,
setup fees,
strategy fees,
consulting fees,
project fees,
implementation fees,
training fees,
subscription payments,
rush fees,
partial payments,
payments made by invoice,
payments made by credit card,
payments made by e-transfer,
payments made by ACH,
payments made by wire transfer,
payments made through Stripe,
payments made through PayPal, and
payments made through any other payment processor or method.
The client acknowledges that services may involve reserved time, strategy, research, planning, labour, intellectual work, access to proprietary methods, and opportunity cost. For this reason, payments are not refundable once made.
No refund will be provided because of:
a change of mind,
a change in business direction,
dissatisfaction based on subjective preference,
delays caused by the client,
failure to provide feedback, access, approvals, assets, or information,
a decision not to use completed work,
a decision to pause or cancel the project,
comparison to another client, vendor, campaign, designer, strategist, consultant, or project,
expected results not being achieved, unless expressly guaranteed in writing,
services being partially completed before the client cancels, pauses, delays, or disengages, or
the client no longer needing, wanting, or choosing to use the purchased services.
7. No Switching After Payment
Once an invoice is paid or a statement of work, proposal, estimate, contract, or payment link is approved, the client may not switch, transfer, exchange, substitute, credit, or reallocate the purchased services to a different project, offer, client, business, campaign, deliverable, platform, account, service package, or scope.
For example, the client may not pay for one package or project and later request that the payment be applied to a different package, business, account, service, campaign, or deliverable.
Any requested change to the scope must be submitted in writing and may require a new quote, change order, invoice, or statement of work.
Ghann Consulting is not required to approve scope changes, service switches, project substitutions, or payment reallocations.
8. Change Requests
Any work requested outside the original scope will be billed separately.
A change request may include, but is not limited to:
new deliverables,
additional revisions,
changes to the business, brand, offer, audience, or project direction,
changes to the platform, software, or account being used,
rewriting or redesigning approved work,
additional meetings,
additional research,
additional reporting,
requests caused by missing, late, inaccurate, or incomplete client information,
work required because the client changed their mind after approval, and
work required because of third-party platform changes, restrictions, errors, or delays.
No out-of-scope work will begin until approved in writing and paid, unless otherwise agreed to in writing by Ghann Consulting.
9. Client Responsibilities
The client is responsible for providing complete, accurate, and timely information, including all required access, logins, brand assets, approvals, feedback, files, content, business information, legal disclaimers, compliance requirements, and technical details.
The client is responsible for reviewing all work before use, approval, publication, implementation, or distribution.
The client is responsible for ensuring that all claims, offers, prices, legal statements, compliance language, health claims, financial claims, guarantees, testimonials, case studies, and industry-specific requirements are accurate and legally appropriate for their business.
Ghann Consulting is not responsible for delays, errors, missed deadlines, performance issues, or additional work caused by incomplete, inaccurate, delayed, or withheld client information.
10. Revisions
Revisions are included only if expressly listed in the applicable scope of work.
Revisions must relate directly to the original agreed scope. A revision does not include a new direction, new strategy, new offer, new audience, new service, new brand direction, new campaign, new platform, or new deliverable.
Revision requests must be submitted in writing within [5] business days of delivery, unless a different revision period is stated in the applicable statement of work.
If no written revision request is received within the applicable review period, the deliverable will be considered accepted.
After the revision period expires, additional changes will be billed separately.
11. Delivery and Acceptance
Deliverables may be provided by email, Google Drive, Dropbox, Canva, Notion, project management software, CRM, website platform, advertising platform, automation platform, shared document, video walkthrough, or another reasonable delivery method.
A deliverable is considered delivered when it is sent, uploaded, shared, published, transferred, or otherwise made available to the client.
The client must review delivered work within [5] business days, unless a different review period is stated in the applicable statement of work.
If the client does not identify specific in-scope deficiencies in writing within the applicable review period, the work will be deemed accepted.
General dissatisfaction, subjective preference, comparison to another project, or a request for a different creative direction does not mean the work was not delivered.
12. No Guaranteed Results
Unless expressly stated in writing by Ghann Consulting, Ghann Consulting does not guarantee any specific financial, marketing, sales, ranking, lead generation, advertising, conversion, revenue, traffic, engagement, business, or operational result.
The client understands that results depend on many factors outside Ghann Consulting’s control, including market conditions, budget, offer strength, audience demand, platform changes, client follow-through, sales process, pricing, reputation, website performance, product quality, customer behaviour, competition, timing, and third-party platform performance.
13. Cancellation by Client
The client may request to cancel a project in writing. Cancellation does not entitle the client to a refund.
If the client cancels, pauses, delays, fails to participate, fails to provide required information, or otherwise prevents completion of the project, all payments already made remain non-refundable.
If work completed or time incurred exceeds the amount already paid, the client remains responsible for paying the outstanding balance.
14. Payment Disputes and Chargebacks
Before initiating a chargeback, payment dispute, reversal, bank claim, or payment processor dispute, the client agrees to contact Ghann Consulting in writing and provide a good-faith opportunity to resolve the issue.
The written notice must include:
the invoice number,
the payment amount,
the amount disputed,
the specific service or deliverable at issue,
the specific reason for the dispute,
any supporting documentation, and
the resolution requested.
The client agrees not to initiate a chargeback or payment dispute for services that were authorized, purchased, started, delivered, partially delivered, made available, or performed under an agreed scope of work.
If the client initiates a chargeback or payment dispute without first following this dispute process, or if the chargeback is determined to be improper, unsupported, premature, or inconsistent with these Terms, the client agrees to reimburse Ghann Consulting for all related costs, including:
payment processor fees,
bank fees,
chargeback fees,
administrative time,
collection costs,
reasonable legal fees, and
any other costs incurred in responding to the dispute.
The client also agrees to pay an administrative dispute response fee of $500, to the extent permitted by applicable law. This fee is intended to compensate Ghann Consulting for internal time, documentation review, evidence preparation, administrative handling, and disruption caused by the dispute. It is not intended as a penalty.
15. Evidence of Service
In the event of a payment dispute, chargeback, legal claim, collections matter, or payment processor review, the client agrees that Ghann Consulting may provide relevant evidence to the payment processor, bank, card network, collection agency, legal representative, court, or other appropriate party.
This evidence may include:
signed agreements,
invoices,
payment records,
email communications,
text messages,
project notes,
file delivery records,
shared document history,
platform access logs,
meeting notes,
screenshots,
drafts,
completed deliverables,
revision history,
proof that services were started, performed, delivered, partially delivered, or made available, and
any other documentation relevant to the dispute.
16. Late Payments and Collections
Unpaid amounts are due immediately.
Late payments may be subject to interest at a rate of [2%] per month, or the maximum rate permitted by law, whichever is lower.
The client is responsible for all reasonable costs of collection, including legal fees, collection agency fees, administrative costs, court costs, and payment processor fees.
17. Intellectual Property
Unless otherwise agreed to in writing, Ghann Consulting retains ownership of all concepts, strategies, drafts, frameworks, processes, templates, systems, methods, and working files created before or during the project.
Once the client has paid all amounts owing, the client receives a limited license or ownership rights, as applicable, to use the final approved deliverables for the business purpose described in the applicable scope of work.
No rights transfer until full payment is received.
Ghann Consulting may reuse general knowledge, skills, ideas, frameworks, processes, and non-confidential methods developed or used during the project.
18. Website Intellectual Property
All content on this website is owned by Ghann Consulting or licensed to Ghann Consulting, unless otherwise stated.
This includes, but is not limited to:

The client agrees that electronic signatures, email approvals, text approvals, payment of an invoice, payment through a payment link, or written confirmation by digital means are valid forms of acceptance.
Payment of an invoice confirms acceptance of these Terms.
36. Changes to These Terms
Ghann Consulting may update these Terms at any time.
Your continued use of the website after changes are posted means you accept the updated Terms.
